Consulting Services Agreement

Home Automation Advisory: Terms, Waiver & Limitation of Liability

By purchasing this advisory service, you ("Client") agree to the following terms in full.


1. Nature of Service

The information, recommendations, and guidance provided through this service ("Service") are general and informational only. This is not professional engineering, electrical, construction, or licensed trade advice. We are not licensed electricians, contractors, or building code authorities.


2. Disclaimer of Warranties

ALL INFORMATION AND RECOMMENDATIONS PROVIDED THROUGH THIS SERVICE ARE DELIVERED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, CONSULTANT MAKES NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING:

  • No warranty that recommendations are complete, accurate, current, or suitable for your circumstances, premises, or jurisdiction
  • No warranty of merchantability or fitness for a particular purpose
  • No warranty regarding the compatibility, performance, reliability, or safety of any recommended products, platforms, devices, or configurations
  • No warranty that any home automation system will perform as intended, remain secure, or be free from defects or failure
  • No warranty that any advice complies with local building codes, electrical codes, fire codes, or insurance requirements in your area

3. Limitation of Liability

3.1 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONSULTANT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THIS SERVICE (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY) SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THIS SERVICE.

3.2 Exclusion of Damages

IN NO EVENT SHALL CONSULTANT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, punitive, or exemplary damages
  • Loss of profits, revenue, data, or business opportunities
  • Damage to property, including smart home devices, electrical systems, appliances, or premises
  • Personal injury or bodily harm resulting from acting on any recommendation
  • Costs of substitute goods, services, or technology
  • System failures, data breaches, or cybersecurity incidents related to any recommended configuration
  • Increased utility costs, service provider fees, or subscription expenses

THESE EXCLUSIONS APPLY REGARDLESS OF WHETHER CONSULTANT WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

3.3 No Liability for Third-Party Products or Services

We have no liability for the performance, availability, security, or discontinuation of any third-party product, platform, or service we reference or recommend. This includes smart home platforms, device manufacturers, cloud services, mobile applications, and internet service providers.


4. Client Acknowledgment of Risk

By purchasing this Service, you acknowledge that:

  • Home automation involves electrical wiring, networking equipment, software, and cloud services, all of which carry real risks, including equipment damage, fire hazard, privacy exposure, and system failure
  • Our recommendations are general and may not account for variables specific to your home, local codes, or existing infrastructure
  • You are solely responsible for confirming that any recommended products, configurations, or installations comply with applicable building codes, electrical codes, fire codes, insurance requirements, and municipal bylaws
  • Any work that requires a licensed professional (including electrical work, low-voltage wiring, or structural changes) should be done by a qualified tradesperson
  • We are not responsible for what you or any third party does with information provided through this Service

5. Equipment Recommendations

Where we recommend specific products, devices, platforms, or brands, those recommendations reflect our personal experience and opinion at the time of the session. They are offered as a starting point for your own research, not as a definitive prescription.

In most cases, we have no commercial relationship with the manufacturers or retailers of recommended equipment and receive no compensation for those recommendations. You are responsible for deciding whether any product is right for your home, budget, and setup before buying.

We cannot be held responsible for:

  • Whether a recommended product meets your expectations
  • Pricing, availability, or specification changes after our session
  • Compatibility issues with your existing systems or devices
  • The quality, warranty, or support provided by any manufacturer or retailer

6. Client Indemnification

You agree to indemnify and hold harmless Consultant and its officers, employees, contractors, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your use or implementation of any recommendation or information provided through this Service
  • Any changes you make to your property, systems, or devices based on our guidance
  • Your failure to obtain required permits, inspections, or licensed professional services
  • Any third-party claim arising from your use of this Service

7. No Professional Relationship

Purchasing this Service does not create a professional, fiduciary, or ongoing advisory relationship. We reserve the right to decline or discontinue service at any time.


8. Governing Law

This Agreement is governed by the laws of the Province of Ontario, Canada. Disputes will first go to good-faith negotiation. If unresolved, they will be submitted to binding arbitration.


9. Right to Cancel & Full Refund

If you do not agree to these terms, you can cancel your purchase for a full refund, provided you contact us before your first session is scheduled or begins. Use the contact information provided at the time of purchase.

Requesting, scheduling, or attending any session means you accept these terms. No refund will be issued once a session has been scheduled or any services have been delivered.


10. Entire Agreement & Severability

This document is the entire agreement between the parties on this subject. If any provision is found unenforceable, the rest remains in effect. Not enforcing a provision at any point does not waive the right to enforce it later.
