Welcome to North Control.

The terms “North Control,” “we,” “us,” and “our” refer to North Control. North Control operates this website and online store, including its related information, content, features, tools, products, and services, to provide customers with an online shopping experience collectively referred to as the “Services.”

Our online store is hosted and powered by Shopify, which provides the e-commerce platform that enables us to offer the Services to you.

These Terms of Service, together with our Privacy Policy, Refund Policy, Shipping Policy, and any other policies referenced on our website, explain your rights and responsibilities when accessing or using the Services.

Please read these Terms carefully. They contain important information concerning orders, payments, warranties, limitations of liability, dispute resolution, and other legal rights.

By visiting, browsing, purchasing from, or otherwise using the Services, you agree to these Terms of Service and our Privacy Policy. If you do not agree with these Terms, you must not access or use the Services.

Nothing in these Terms limits or excludes any rights or remedies that cannot legally be limited or excluded under applicable consumer protection laws.

Section 1 — Access and Accounts

By using the Services, you represent that you have reached the age of majority in your province, territory, state, or country of residence, or that you are using the Services with the permission and supervision of a parent or legal guardian.

You may be required to provide information such as your name, email address, billing information, payment information, telephone number, and shipping address.

You represent that all information you provide is accurate, complete, current, and lawfully provided. You agree to promptly update your information when necessary.

You are responsible for safeguarding your account credentials and for activity conducted through your account. You must notify us promptly if you believe your account has been accessed or used without authorization.

You may not sell, transfer, assign, license, or otherwise provide your account to another person without our written permission.

We may refuse service, suspend an account, or restrict access to the Services where reasonably necessary to protect North Control, our customers, Shopify, or third parties from fraud, misuse, unlawful activity, or security risks.

Section 2 — Products and Product Information

We make reasonable efforts to display product descriptions, photographs, specifications, prices, availability, and other information as accurately as possible.

Colours and product appearance may vary depending on your screen, device, display settings, lighting conditions, and manufacturer updates. Product packaging may also change without notice while the product itself remains substantially the same.

Minor differences in colour, packaging, or presentation are not necessarily product defects.

Product descriptions, prices, specifications, availability, and quantities may be corrected or updated when necessary. We may discontinue products or limit quantities available for purchase.

Where a product is sold with a manufacturer’s warranty, the warranty is subject to the manufacturer’s applicable terms. Nothing in these Terms limits any statutory warranties, guarantees, or consumer rights that apply to your purchase.

Section 3 — Orders and Order Acceptance

Submitting an order constitutes an offer to purchase the products or services listed in your order.

An automated order confirmation confirms that we received your order. It does not necessarily mean that the order has been finally accepted.

We may decline or cancel an order for legitimate reasons, including:

Product unavailability
Suspected fraud or unauthorized payment activity
Incorrect pricing or product information
Shipping restrictions
Quantity limitations
An inability to verify billing or delivery information
A violation of these Terms

Your order is generally accepted when we send a shipping confirmation or otherwise expressly confirm that the order has been accepted.

If we cancel an order after payment has been collected, we will issue a refund to the original payment method.

Please review your order carefully before submitting it. Contact us immediately if you need to request a cancellation or correction. We cannot guarantee that an order can be changed or cancelled after it has entered processing or has been shipped.

Returns and exchanges are governed by our Refund Policy, which is available through the Terms and Policies section of our website.

Products purchased through our retail store are intended for personal or household use unless we expressly agree otherwise. You may not purchase products for unauthorized resale, unlawful export, or fraudulent purposes.

Section 4 — Prices, Payments and Billing

Unless otherwise clearly stated, prices displayed on our Canadian store are listed in Canadian dollars.

Product prices, discounts, promotions, and availability may change without notice. The price applicable to your purchase will be the price displayed when you submit your order, subject to correction of obvious errors.

Applicable taxes, delivery charges, and any other required charges will be disclosed during checkout before you complete your purchase.

Promotional offers may be subject to separate eligibility requirements, expiration dates, exclusions, quantity restrictions, or promotional terms. If promotional terms conflict with these Terms, the specific promotional terms will apply to that promotion.

You agree to provide accurate, complete, and current payment, billing, shipping, and contact information.

By submitting payment information, you represent that:

You are authorized to use the selected payment method.
The information provided is accurate and complete.
You authorize us and our payment processors to charge the applicable amount.
You are responsible for all properly authorized charges, applicable taxes, and disclosed delivery fees.

Payment processing may be provided by Shopify Payments or other third-party payment providers. We do not directly store complete payment card details where those details are processed by an authorized payment provider.

Section 5 — Shipping and Delivery

Orders are shipped in accordance with our Shipping Policy, which is available through the Terms and Policies section of our website.

Estimated processing and delivery times are estimates and are not guarantees. Delivery may be affected by weather, carrier disruptions, holidays, address issues, remote-location limitations, customs procedures where applicable, and other circumstances outside our reasonable control.

We will provide available tracking information when applicable.

Risk of loss generally passes to you when delivery is completed at the shipping address provided during checkout, subject to applicable law.

You are responsible for providing a complete and accurate delivery address. Contact us immediately if you discover an address error. We cannot guarantee that an address can be changed after an order has entered processing or has been transferred to the carrier.

If an order is lost, damaged, misdelivered, or marked as delivered but cannot be located, contact us promptly at hello@northcontrol.ca. We will review the circumstances and work with you and the carrier to seek an appropriate resolution.

Nothing in this section limits rights available to you under applicable consumer protection law.

Section 6 — Returns, Exchanges and Refunds

Returns, exchanges, damaged-item claims, and refunds are governed by our Refund Policy.

You must contact us and obtain return authorization before sending a product back. Products returned without authorization may not be accepted.

Nothing in our Refund Policy or these Terms limits any remedy that must be provided under applicable law.

Section 7 — Intellectual Property

The Services and their original content, design, layout, branding, text, graphics, photographs, videos, audio, interfaces, logos, and other materials are owned by or licensed to North Control and are protected by Canadian and international intellectual property laws.

Product names, manufacturer logos, trademarks, photographs, and other third-party materials remain the property of their respective owners.

You may use the Services only for lawful, personal, and non-commercial purposes.

Without our prior written permission, you must not:

Reproduce, republish, distribute, sell, or commercially exploit website content
Modify or create derivative works from our original content
Remove ownership, copyright, or trademark notices
Use our branding in a manner that suggests an unauthorized relationship or endorsement
Systematically download, scrape, extract, or copy website content
Use website content to train or populate a competing commercial service

These Terms do not transfer any intellectual property rights to you.

“North Control,” associated logos, product-service names, designs, and slogans may be trademarks or trade names belonging to North Control or its licensors.

Shopify’s name, logos, products, and service marks belong to Shopify. Other names and marks displayed through the Services belong to their respective owners.

Section 8 — Optional and Third-Party Tools

We may provide access to tools, applications, integrations, or functionality operated by third parties.

Unless expressly stated otherwise, we do not control or operate those third-party tools. They may be provided on an “as available” basis and may be governed by separate terms and privacy policies.

Your use of third-party tools is at your discretion. You should review the applicable provider’s terms, policies, pricing, and data practices before using them.

To the extent permitted by law, North Control is not responsible for problems caused solely by a third-party tool that we do not control.

We may introduce, change, suspend, or remove website features and tools from time to time.

Section 9 — Third-Party Links

The Services may contain links to websites, applications, information, products, or services operated by third parties.

A link does not necessarily mean that North Control endorses or controls the third-party website or its content.

We are not responsible for the availability, accuracy, security, privacy practices, content, or products of third-party websites that we do not operate.

You should review the third party’s terms, privacy policy, shipping policy, refund policy, and other relevant information before completing a transaction.

Questions or complaints concerning a transaction completed directly with a third party should be directed to that third party.

Section 10 — Relationship with Shopify

North Control is powered by Shopify, which enables us to provide the Services to you.

However, purchases made through our store are transactions directly between you and North Control. Shopify is not the seller of the products purchased from North Control and is not responsible for fulfilling our orders, processing our returns, or providing product support on our behalf.

To the extent permitted by law, you acknowledge that Shopify and its affiliates are not responsible for claims, losses, or damages arising solely from transactions between you and North Control.

Nothing in this section limits any responsibility Shopify may have under applicable law or under services it directly provides to you.

Section 11 — Privacy

Our collection, use, disclosure, retention, and protection of personal information are described in our Privacy Policy, available through the Terms and Policies section of our website.

Because our store is hosted by Shopify, Shopify and its service providers may collect and process information necessary to host the store, process transactions, provide fraud prevention, operate checkout, and improve Shopify’s services.

Information may be processed by service providers located outside your province or country. Where required, we use appropriate contractual, administrative, and technical measures to protect personal information.

By using the Services, you acknowledge that you have reviewed our Privacy Policy.

Section 12 — Reviews, Comments and Feedback

You may submit reviews, comments, suggestions, photographs, ideas, or other content collectively referred to as “Feedback.”

You retain ownership of your Feedback. However, by submitting Feedback to us, you grant North Control a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to host, reproduce, adapt, publish, display, distribute, and use that Feedback for operating, improving, and promoting our Services.

This licence continues for as long as the Feedback is used in connection with the Services, subject to applicable privacy and consumer protection laws.

You represent that:

You own the Feedback or have permission to submit it.
Your Feedback is truthful and based on your genuine experience where presented as a review.
You have disclosed any material compensation, discount, free product, or incentive connected to the Feedback.
Your Feedback does not violate another person’s privacy, intellectual property, publicity, contractual, or other rights.
Your Feedback does not contain unlawful, defamatory, threatening, fraudulent, obscene, or malicious content.

We may moderate or remove Feedback that violates these Terms, applicable law, or our content standards.

We are not required to publish, retain, compensate, or respond to Feedback.

Section 13 — Errors, Inaccuracies and Omissions

Occasionally, the Services may contain typographical errors, incorrect pricing, outdated availability information, inaccurate product details, or other omissions.

We may correct errors and update information when discovered.

If an error materially affects an order you have already submitted, we will notify you where reasonably possible and provide an appropriate option, which may include confirming the corrected order or receiving a cancellation and refund.

We will not knowingly use this section to avoid an order merely because a valid advertised price later becomes inconvenient.

Section 14 — Prohibited Uses

You may use the Services only for lawful purposes.

You must not use the Services to:

Violate applicable international, federal, provincial, territorial, state, or local law
Infringe intellectual property, privacy, publicity, or other rights
Submit false, fraudulent, deceptive, or misleading information
Harass, threaten, defame, abuse, intimidate, or harm another person
Impersonate another person or organization

Introduce viruses, malware, malicious scripts, or harmful code
Circumvent account, payment, security, or access controls

Use the Services to facilitate fraud, unauthorized resale, chargeback abuse, or unlawful export
Reproduce, duplicate, resell, or exploit the Services without permission

We may investigate suspected violations and may restrict or terminate access when reasonably necessary to protect our customers, our business, Shopify, service providers, or third parties.

Section 15 — Suspension and Termination

You may stop using the Services at any time.

We may suspend or terminate access to the Services where reasonably necessary because of:

A material violation of these Terms
Suspected fraud or unlawful conduct
Security risks
Misuse of the Services
Non-payment of amounts properly due
A legal or regulatory requirement
Discontinuation of the Services

Termination does not affect rights or obligations that arose before termination.

Provisions that by their nature should continue after termination will remain effective, including provisions relating to intellectual property, payment obligations, liability, indemnification, privacy, and dispute resolution.

Section 16 — Disclaimer of Warranties

We make reasonable efforts to keep the Services available, secure, and accurate. However, we do not guarantee that the website will always operate without interruption, delay, error, or security incident.

Except for express product warranties and rights that cannot legally be excluded, the Services are provided on an “as available” basis.

To the extent permitted by applicable law, we disclaim implied warranties concerning the operation of the website itself, including implied warranties of uninterrupted availability, compatibility, or error-free operation.

This disclaimer does not exclude:

Statutory consumer guarantees or warranties
Express warranties provided with a product
Liability that cannot legally be excluded
Remedies available for damaged, defective, misdescribed, or undelivered products
Obligations expressly stated in our Refund Policy or Shipping Policy

Section 17 — Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

To the fullest extent permitted by applicable law, North Control and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, punitive, or consequential losses arising from use of the Services, where such losses were not reasonably foreseeable.

This may include loss of profits, business interruption, loss of data, or loss of business opportunity.

Any limitation in this section does not apply to liability arising from:

Fraud or fraudulent misrepresentation
Gross negligence or wilful misconduct
Death or personal injury where liability cannot be excluded
Breach of statutory consumer rights
Obligations that cannot be limited under applicable law

For claims that may legally be limited, our total liability relating to a particular product or transaction will not exceed the amount paid for that product or transaction, except where applicable law requires a different remedy.

Section 18 — Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless North Control and its directors, officers, employees, contractors, affiliates, and service providers from third-party claims, losses, or reasonable costs arising directly from:

Your unlawful misuse of the Services.
Your material breach of these Terms.
Content you submit that infringes a third party’s rights.
Fraudulent or malicious activity conducted through your account.

This obligation does not apply to claims caused by North Control’s own negligence, breach of law, or misconduct.

We will provide reasonable notice of an indemnified claim and allow reasonable cooperation in its defence.

Section 19 — Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue in full force and effect.

Section 20 — Waiver and Entire Agreement

A failure or delay by North Control to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms, together with the policies and notices referenced on our website, constitute the agreement between you and North Control concerning your use of the Services.

They replace prior discussions or agreements concerning the same subject matter, but do not replace any express product warranty, order confirmation, promotion-specific terms, or rights provided by applicable law.

Section 21 — Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations in connection with a merger, acquisition, sale, corporate reorganization, financing, or transfer of all or part of our business.

Any assignment will remain subject to applicable law and will not reduce rights already available to you in connection with an accepted order.

Section 22 — Governing Law

These Terms and any dispute relating to the Services are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

Subject to mandatory consumer rights and jurisdictional rules, disputes may be brought before the courts located in Ottawa, Ontario.

Nothing in this section prevents a consumer from relying on mandatory protections or bringing a claim in another jurisdiction where applicable law gives the consumer that right.

Section 23 — Headings

Section titles and headings are included for convenience only. They do not affect the interpretation of these Terms.

Section 24 — Changes to These Terms

The current version of these Terms will be available on this page.

We may update these Terms to reflect changes to our business, Services, technologies, legal requirements, or operating practices.

Where required by law, we will provide notice of material changes. Updated Terms will become effective on the date shown at the top of this page or on another date specified in the notice.

Changes will not retroactively alter the terms applicable to an order that was already accepted unless required by law or agreed with you.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms.
